"Bicycle Configuration Customization Terms"

1. General principles

1. These terms apply to the bicycle configuration customization services provided by the company to customers, aiming to meet customers' personalized needs for bicycle performance, component selection, etc.

2. Customers should carefully read and understand the entire content of these terms before customizing bicycle configurations. Once the customer submits a custom order, the customer is deemed to agree and accept to be bound by these Terms.

 

2. Customization process

1. Demand communication: Customers need to explain to us in detail the purpose of the required bicycle (such as daily commuting, mountain biking, road racing, etc.), the desired performance characteristics (such as speed, comfort, passability, etc.), and the preliminary ideas or special requirements for each component (such as a specific brand of transmission system, brake components, etc.) through the company's designated channels (such as online forms, customer service consultation, etc.).

2. Plan design: Our company will use professional bicycle configuration designers to develop personalized configuration plans for customers based on the demand information provided by customers. The plan will include but not be limited to the specific models and parameters of the frame material and size, transmission system, braking system, wheel set, handlebar and seat tube, etc., and will explain in detail the reasons and advantages of the selection of each component, as well as the expected performance effects of the overall configuration.

3. Plan confirmation: The company will submit the configuration plan to the customer within [X] working days, and the customer should carefully review and give us feedback within [X] working days after receiving the plan. Customers can request modifications and adjustments to the plan, and we will further optimize the configuration plan based on customer feedback until the customer is satisfied and confirms the final plan.

 

3. Component Selection and Quality Assurance

1. Component brands and models: Customers can choose various components of the bicycle from the optional parts list provided by the company. The list contains a variety of components of different brands, grades and performance characteristics for customers to choose from to meet the budget and performance needs of different customers. For the specific brand or model parts specified by the customer, if the part has formal sales channels on the market and the company can purchase it, we will try our best to meet the customer's requirements; however, if the part cannot be obtained due to supply shortage, production discontinuation or other uncontrollable factors, the company will negotiate with the customer to select alternative parts with the same performance and quality, and configure them with the customer's consent.

2. Quality standards: Our company promises that all bicycle parts selected are brand new and genuine products that comply with relevant national quality standards and industry standards, and have corresponding quality inspection reports and certificates of conformity (if any). For imported components, we will ensure that they enter the domestic market through legal import channels and comply with domestic quality supervision requirements. During the bicycle assembly process, we will strictly follow the installation guidelines and process requirements of each component manufacturer to ensure the overall quality and performance stability of the bicycle.

3. Quality inspection: After the customized assembly of the bicycle is completed, our company will conduct a comprehensive quality inspection of the entire vehicle. The inspection content includes but is not limited to the installation firmness of each component, the accuracy and smoothness of the transmission system, the braking effect of the braking system, the concentricity and balance of the wheels, etc. Only bicycles that pass quality inspection will be delivered to customers, ensuring that customers receive customized bicycles in good condition when delivered.

 

4. Price and payment method

1. Price calculation: The price of a customized bicycle will be determined based on factors such as the specific component configuration selected by the customer and the corresponding labor assembly costs. The company will provide customers with a detailed price list, clearly listing the unit price of each component and assembly costs and other details to ensure that customers clearly understand the price structure of customized bicycles. The price list will be provided to the customer together with the final confirmed configuration plan.

2. Payment method: The customer needs to pay [X]% of the total order price as a deposit within [X] working days after confirming the customization plan. After receiving the deposit, the company will start purchasing the required parts and arrange assembly. After the bicycle is customized and passes quality inspection, the company will notify the customer to pay the remaining balance. The customer shall complete the final payment within [X] working days after receiving the notification, and the Company will arrange the delivery of the bicycle after receiving the final payment.

3. Price adjustment: If the purchase cost of the selected components changes significantly (the change exceeds ±[X]%) due to force majeure factors such as changes in market supply and demand, fluctuations in raw material prices, price adjustments by component suppliers, etc. between the time the customer places the order and before the bicycle is delivered, the company will negotiate with the customer to adjust the price of the customized bicycle and provide documentation proving the relevant price changes. The customer has the right to decide whether to continue to fulfill the order within [X] working days after receiving the price adjustment notice. If the customer chooses to cancel the order, the company will fully refund the deposit paid by the customer; if the customer agrees to the price adjustment, both parties shall continue to perform the contract obligations at the adjusted price.

 

5. Production and delivery time

1. Production cycle: The company will complete the customized assembly of the bicycle within [X] working days after receiving the customer's deposit, but the actual production cycle may be extended due to component supply, order quantity, and other unforeseen factors. If the production cycle is expected to exceed the above time, the Company will notify the customer [X] working days in advance and explain the reason for the delay and the estimated delivery time to the customer.

2. Delivery method: According to the customer's requirements, the company can provide the following two delivery methods for customers to choose:

● Self-pickup: After receiving the delivery notice from the company, the customer can go to the location designated by the company to pick up the customized bicycle by himself. Our company will provide customers with necessary bicycle debugging and usage instruction services when they pick up their bikes to ensure that customers can use their bicycles safely and smoothly.

● Logistics and distribution: Our company will entrust a professional logistics company to deliver the customized bicycle to the address specified by the customer (the freight will be borne by the customer). During the logistics and transportation process, our company will be responsible for properly packaging and protecting the bicycles to ensure that the bicycles are not damaged during transportation. After receiving the bicycle, the customer should promptly check the appearance and integrity of the vehicle. If any transportation damage is found, the customer should contact the company and the logistics company immediately. The company will assist the customer in handling relevant claims.

3. Delivery time confirmation: No matter which delivery method is selected, the company will consider the delivery to be completed after the bicycle is actually delivered to the customer or the logistics collector designated by the customer, and the time when the delivery is completed will be used as the basis for determining the delivery time.

 

6. After-sales service

1. Warranty period: The company provides a [X] year quality guarantee period for customized bicycles (calculated from the date of completion of delivery). During the warranty period, if the bicycle has quality problems caused by defects in materials or workmanship, the company will provide customers with free repair or replacement parts services, but does not include damage caused by normal wear and tear, improper use, accidents, self-modification or force majeure.

2. After-sales maintenance service: During the warranty period, if customers encounter bicycle quality problems, they can contact the company's after-sales customer service team at any time. We will provide customers with detailed maintenance guidance or arrange for customers to send the bicycle to the company's designated maintenance point for repair. For bicycles that have exceeded the warranty period, the company will continue to provide customers with paid repair and maintenance services. The specific charging standards will be determined based on the actual repair items and parts that need to be replaced.

3. Parts upgrade and replacement: During the use of the bicycle, if the customer wants to upgrade or replace certain parts, the company can provide corresponding parts and installation services according to the customer's needs (fees are extra). The Company will ensure that the upgrade or replacement parts provided are compatible with the customer's existing bicycle configuration and guarantee overall performance and safety once installed.

 

7. Customer Responsibilities and Obligations

1. Provide information truthfully: Customers should truthfully provide the company with the purpose of the customized bicycle, riding habits, body dimensions (such as height, weight, etc.) and other information related to configuration selection, so that the company can design a bicycle configuration plan that best suits the customer's needs. If the bicycle configuration is unreasonable or cannot meet the customer's actual needs due to false or inaccurate information provided by the customer, the company does not assume any liability arising therefrom.

2. Comply with the instructions for use: After receiving the customized bicycle, the customer should carefully read and abide by the bicycle instruction manual and safety precautions provided by the company, use and maintain the bicycle correctly, and avoid bicycle damage or safety accidents due to improper use. The company is not responsible for any damage to the bicycle or personal injury caused by the customer's failure to follow the instructions.

3. No unauthorized modification: During the warranty period, customers are not allowed to modify or disassemble the customized bicycle in any form without the written consent of the company. Otherwise, the company will have the right to cancel the warranty service and will not be responsible for any failure or damage to the bicycle caused by modification or disassembly. If the customer modifies the bicycle after the warranty period, he should ensure that the modified bicycle complies with relevant national laws, regulations and safety standards, and bear all risks and consequences that may arise from the modification.

 

8. Intellectual Property Rights and Confidentiality Clauses

1. Ownership of intellectual property rights: The configuration plan designed by our company for customized bicycles and the resulting technical data, drawings and other intellectual property rights are owned by the company. However, after paying the full customization payment, the customer has the right to use the configuration plan and related intellectual property rights within the normal use of the bicycle. Without the written consent of the Company, the customer may not use the bicycle configuration plan customized by the Company for any commercial purpose or disclose it to a third party.

2. Confidentiality obligations: Both parties shall keep confidential the other party’s business secrets, technical secrets, customer information, etc. that they learn during the customization process, and shall not disclose or use them to any third party without the written consent of the other party. This confidentiality clause is valid for [X] years from the date the parties sign the custom contract.

 

9. Liability for breach of contract

1. Customer’s breach of contract: If the customer fails to pay the deposit or balance payment as stipulated in this clause, for each overdue day, the company shall pay liquidated damages at [X]% of the unpaid amount; if the customer is overdue for more than [X] working days, the company has the right to terminate the contract and confiscate the deposit paid by the customer, and reserves the right to pursue other losses caused by the customer to the company due to breach of contract. If the customer cancels the order or changes the customization plan without authorization during the customization process, causing the parts purchased by the company to be unusable or incurring additional costs, the customer shall bear all losses suffered by the company, including but not limited to parts procurement costs, transportation costs, labor costs, and expected profit losses.

2. The company's breach of contract: If the company fails to complete the customized assembly or delivery of the bicycle in accordance with the time stipulated in these terms, it shall pay liquidated damages to the customer at the rate of [X]% of the total order price for each day overdue; if the overdue period exceeds [X] working days, the customer has the right to terminate the contract and require the company to refund the full amount of the money paid. At the same time, the company shall pay liquidated damages to the customer at the rate of [X]% of the total order price to make up for the customer's losses due to delayed delivery. If there is a quality problem in the delivered bicycle due to the company's fault and it cannot be solved by repair or replacement of parts during the warranty period, the customer has the right to request the company to replace it with a brand new bicycle that meets the customized requirements, or to fully refund the money the customer has paid, and to bear other losses caused to the customer (such as personal injury compensation, property damage compensation, etc. due to bicycle quality problems).

 

10. Dispute Resolution

1. If a dispute arises between the two parties during the performance of this clause, it shall first be resolved through friendly negotiation; if the negotiation fails, either party has the right to file a lawsuit with the people's court with jurisdiction where the company is located.

2. During the dispute resolution period, except for the parts involved in the dispute, both parties shall continue to perform other non-disputed terms and obligations in these Terms.

 

11. Other terms

1. If there are any matters not covered in these Terms, both parties may negotiate separately and sign a supplementary agreement. The supplemental agreement shall have the same legal effect as these Terms.

2. The company has the right to make appropriate adjustments and modifications to these terms based on factors such as market conditions, industry development, changes in laws and regulations, but it shall notify the customer [X] days in advance. After receiving the notice, the customer has the right to choose to continue to perform the customized contract or cancel the order (in accordance with the relevant provisions on order cancellation in these terms).

 

In practical applications, the terms can be further refined and optimized based on specific business conditions and legal requirements.
